By accessing or using our website and services (collectively, the “Services”), you (“Client,” “you,” or “your”) agree to comply with and be bound by these Terms and Conditions (“Agreement”). If you do not agree to these terms, please do not use our Services.
- Services Provided
We offer virtual assistant services, including but not limited to administrative support, calendar management, email handling, research, data entry, and other tasks as agreed upon between the Company and the Client.
- Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for the provision of Services.
- Ensure that any materials, data, or tasks provided do not violate any laws or third-party rights.
- Not use our Services for illegal, fraudulent, or unethical activities.
- Comply with all applicable laws and regulations.
- Payment Terms
- Billing: Services are billed on a subscription or per-project basis as agreed upon with the Client.
- Payment Methods: Payment must be made via the payment methods provided on our website.
- Late Payments: Late payments may result in suspension or termination of services.
- Refunds: All fees are non-refundable unless otherwise stated.
- Chargebacks: Clients agree not to initiate chargebacks for services rendered. Any chargeback may result in termination of Services and potential legal action.
- Confidentiality
We maintain strict confidentiality regarding all client data and sensitive business information. We will not disclose client information to third parties except as required by law or with the client’s consent.
- Intellectual Property
- Ownership: All materials, processes, and content created by us remain the property of the Client unless otherwise agreed.
- Usage: Clients agree not to copy, distribute, or exploit any proprietary methods or materials of the Company without prior consent.
- Termination
- By Client: Clients may terminate the Agreement at any time by providing written notice.
- By Company: We may terminate the Agreement if the Client violates any terms of this Agreement or engages in inappropriate behavior.
- Notice Period: A notice period of 30 days is required for termination.
- Outstanding Payments: Any outstanding payments must be settled upon termination.
- Non-Disclosure and Non-Solicitation
- Non-Disclosure: Both parties agree to keep all proprietary information confidential during and after the term of this Agreement.
- Non-Solicitation: Clients agree not to solicit or hire our employees or contractors for a period of 12 months after the termination of this Agreement.
- Dispute Resolution
In the event of a dispute, both parties agree to attempt to resolve the issue amicably. If a resolution cannot be reached, the dispute will be handled under the governing laws of the jurisdiction in which the Company operates.
- Limitation of Liability
The Company is not liable for any indirect, incidental, or consequential damages arising out of the use or inability to use our Services.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state in which the Company operates, without regard to its conflict of law principles.
- Amendments
We reserve the right to modify these Terms and Conditions at any time. Clients will be notified of any significant changes, and continued use of the Services constitutes acceptance of the modified terms.
